Terms of Service

Effective November 6, 2026

These Terms govern your use of Laminaro. By creating an account, using the console, or calling an endpoint, you agree to them. Laminaro is an independent software business operated in Mexico; it is not a law firm, bank, or financial institution.

1. Agreement and eligibility

These Terms are a contract between you and Laminaro. If you use Laminaro for an organisation, you confirm you may bind that organisation, and "you" includes it.

You must be at least 18 and legally able to enter a contract. You may not use the service if you are barred by applicable law or if we previously removed you for a serious breach.

2. The service

Laminaro provides a governed endpoint, console, and related tooling that let agents discover and invoke capabilities a workspace has granted. Capabilities may connect to third-party APIs and services that we do not control.

We may change, improve, or retire features. We aim to give reasonable notice before a change materially reduces paid functionality.

3. Accounts and workspaces

You are responsible for your account, credentials, API keys, and everything done through them. Keep credentials secret and tell us promptly if you believe they were compromised.

A workspace owner controls membership and roles. Removing a member ends their access on the next request, but their account and audit history remain.

You must provide accurate account information and keep your email address current. We may suspend accounts with false or misleading information.

4. Acceptable use

You may not use Laminaro to:

  • Break the law, infringe rights, or facilitate fraud, malware, phishing, or unauthorised access.
  • Probe, scan, or attack the service or another customer's workspace, or bypass quotas, authentication, or rate limits.
  • Resell raw access to the service, mine cryptocurrency, or run arbitrary workloads outside the sandbox's intended use.
  • Upload content you do not have the right to use, or secrets you are not authorised to process.
  • Use the service in a high-risk domain where a failure could cause death, injury, or severe financial harm without independent human review.

5. Your content

You keep ownership of the API descriptions, skills, bundles, policies, comments, and other content you add ("Customer Content"). You grant us a limited licence to host, process, transmit, and back up Customer Content to provide the service.

You are responsible for Customer Content and for having the rights and notices needed to connect third-party services. We may remove content that violates these Terms or the law.

6. Plans, billing, and taxes

Current plans, included usage, and request overage rates are on the Pricing page. Prices are in US dollars and exclude taxes unless stated. We may change prices with at least 30 days' notice before your next renewal.

Creem acts as merchant of record for paid plans. Creem's buyer terms govern payment processing, tax collection, invoicing, and refunds. Card and bank details are provided to Creem, not to Laminaro.

Subscriptions renew automatically until cancelled. You can cancel from the console or by contacting support; cancellation stops the next renewal, and access continues to the end of the paid period. Usage already incurred remains payable.

Our Refund Policy explains the 14-day first-charge refund, cancellations, and request overage. Creem processes approved refunds under its buyer terms.

7. Free plan and trials

The free plan is provided as-is, with the usage limits shown on the Pricing page. We may change or withdraw free limits with reasonable notice. Free plans do not create a payment obligation.

8. Third-party services

Capabilities may call third-party APIs. Their availability, terms, prices, and data practices are between you and that provider. We are not responsible for third-party services, and a failed upstream call is not a Laminaro failure unless our own gateway caused it.

9. Agents and outputs

Agent outputs can be wrong, incomplete, or unsafe. Laminaro provides governance and receipts, not a guarantee that an output is correct or fit for a purpose. You are responsible for reviewing high-impact actions before relying on them.

The service does not provide legal, medical, financial, or other professional advice.

10. Intellectual property

Laminaro and its licensors own the service, software, design, and documentation. These Terms do not transfer that ownership. You may not copy, decompile, or create a competing service from it except as law allows.

If you send feedback, you allow us to use it without restriction or payment.

11. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access if you breach these Terms, create a security or legal risk, fail to pay, or use the service in a way that harms other customers.

Where reasonable, we give notice and a chance to fix the issue. On termination, your right to use the service ends; sections that by nature survive (content licences for backups, payment obligations, disclaimers, liability, and governing law) continue.

12. Disclaimers

To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that every capability, upstream, or agent action will succeed.

Nothing in these Terms limits warranties or rights that applicable consumer law does not allow us to limit.

13. Limitation of liability

To the maximum extent permitted by law, Laminaro is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for all claims relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100.

These limits do not apply to fraud, wilful misconduct, or liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify Laminaro against claims, damages, and costs (including reasonable legal fees) arising from your Customer Content, your connected services, your breach of these Terms, or your violation of law.

15. Governing law and disputes

These Terms are governed by the laws of Mexico, without regard to conflict-of-laws rules. Courts in Mexico have jurisdiction, except that either party may seek relief where the other party is established or where a mandatory consumer rule gives you a local forum.

Before filing a claim, contact [email protected] and give us 30 days to try to resolve it. Nothing here prevents you from contacting a consumer protection authority.

16. Changes and contact

We may update these Terms. Material changes are announced by email or in the console at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.
